Terms of Service

1. Acceptance of Terms

By accessing or using Actionbook ("Service"), operated by Cue Labs, Inc. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the effective date at the top of this page and, for material changes, provide reasonable notice (such as a notification in the Service or an email to the address associated with your account). Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

3. Privacy Policy

4. Account Security

We are not liable for any loss or damage arising from your failure to protect your account credentials.

  • Use the Service to send unsolicited communications (spam) or to distribute malware.

All content, technology, software, and data provided through the Service — including text, graphics, logos, APIs, and documentation — are owned by Cue Labs, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

You retain ownership of any data you submit to the Service. By submitting data, you grant us a limited license to use it solely as necessary to provide and improve the Service.

The Service may contain links to or integrate with third-party websites, services, or APIs. We do not control and are not responsible for the content, privacy practices, or availability of any third-party services. Your interactions with third-party services are governed by their own terms and policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CUE LABS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cue Labs, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. You agree to submit to the exclusive jurisdiction of the courts located in the State of Delaware for the resolution of any disputes arising out of or relating to these Terms or the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

13. General Provisions

These Terms constitute the entire agreement between you and Cue Labs, Inc. regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
